These Terms of Service govern your access to and use of Millow Tool, a desktop plugin suite for Adobe Premiere Pro and DaVinci Resolve.

By downloading, installing, accessing, or using Millow Tool, you agree to these Terms. If you do not agree, do not use the software.

1. Product

Millow Tool is a desktop extension/plugin suite designed for Adobe Premiere Pro and DaVinci Resolve. It may include tools such as Subtitle Generator, Smart Cut, AI Shorts, Silence Removal, Caption Styling, Translation, Auto Zoom, Social Media Tools, and other editor utilities.

Millow Tool is developed independently and is not affiliated with, endorsed by, or sponsored by Adobe Inc. or Blackmagic Design. Adobe Premiere Pro is a trademark of Adobe Inc.; DaVinci Resolve is a trademark of Blackmagic Design.

2. Account

To use paid or trial features, you may need to create an account using your email address.

You are responsible for keeping your account secure and for all activity that happens under your account. You must not share your account credentials with other people.

We may suspend or restrict access if we detect abuse, account sharing, fraud, unauthorized resale, or attempts to bypass licensing.

3. Subscription

Millow Tool uses one subscription model.

One active Millow Tool subscription unlocks all current and future Millow Tool modules included in your plan.

We do not sell separate subscriptions for individual modules.

Available plans may include monthly and yearly billing options. Plan details, prices, device limits, and usage limits are shown on our website or checkout page.

4. Subtitle Minute Limits

Some features may include usage limits.

The Subtitle Generator may include a monthly limit of video minutes that can be processed for subtitles. The number of included subtitle minutes depends on your plan.

Video minutes are calculated based on the duration of the selected video, sequence, or audio range. Partial minutes may be rounded up to the nearest full minute.

Unused subtitle minutes do not roll over to the next billing period unless explicitly stated.

If your subtitle minute limit is reached, you may need to wait until the next reset period or upgrade your plan.

5. Free Trial

We may offer a free trial. A trial may include access to all modules, limited subtitle minutes, device limits, or time limits.

We may change or discontinue trials at any time.

One trial is generally allowed per user, unless we explicitly allow otherwise. Creating multiple accounts to abuse trials is prohibited.

6. Device Activation

Your subscription may include a limited number of active devices.

You may be able to manage activated devices from your account dashboard. We may limit device resets or investigate unusual activation activity to prevent account sharing or abuse.

7. Offline Access

Millow Tool may allow limited offline use after a successful license validation.

Offline access is temporary and may require periodic internet connection to refresh your license, subscription status, device activation, and usage limits.

Some features, especially features with usage limits, may require an internet connection.

8. Payments

Payments may be processed by our payment provider and/or Merchant of Record, such as Paddle.

We do not store your full payment card details on our servers.

By purchasing a subscription, you agree to the pricing, billing interval, taxes, and renewal terms shown during checkout.

9. Renewal and Cancellation

Subscriptions renew automatically unless cancelled before the renewal date.

You can cancel your subscription through the account dashboard, checkout provider portal, or by contacting support.

After cancellation, you may continue to access paid features until the end of your current paid billing period, unless otherwise stated.

10. Refunds

Refunds are handled according to our Refund Policy.

11. Acceptable Use

You agree not to:

• copy, resell, sublicense, rent, or redistribute Millow Tool;
• share your account or license with unauthorized users;
• bypass or disable licensing, activation, subscription checks, or usage limits;
• reverse engineer, decompile, modify, patch, or tamper with the software, except where allowed by law;
• use the software for illegal, harmful, abusive, or infringing activity;
• overload, attack, or interfere with our servers or licensing systems.

12. Updates and Changes

We may update Millow Tool from time to time to add features, fix bugs, improve performance, or change how licensing works.

Some updates may be required to keep using the software.

We may add, remove, rename, or modify modules and features. We will try to avoid removing major paid functionality without a reasonable reason.

13. Availability

We aim to keep Millow Tool reliable, but we do not guarantee that the software or online services will always be available, error-free, or compatible with every system, version of Adobe Premiere Pro or DaVinci Resolve, operating system, workflow, or third-party tool.

14. Support

Support is provided through: support@millowtool.com

We aim to respond within a reasonable time, but response times are not guaranteed unless your plan explicitly includes priority support.

15. Intellectual Property

Millow Tool, including its code, design, interface, branding, and documentation, is owned by Millow Tool or its licensors.

You receive a limited, non-exclusive, non-transferable license to use Millow Tool according to these Terms.

You do not acquire ownership of the software.

16. Third-Party Services

Millow Tool may use third-party services for payments, authentication, analytics, licensing, hosting, crash reporting, or AI-related functionality.

Your use of those third-party services may be subject to their own terms and policies.

17. Disclaimer

Millow Tool is provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

18. Limitation of Liability

To the maximum extent permitted by law, Millow Tool will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, lost projects, production delays, or business interruption.

Our total liability for any claim will not exceed the amount you paid for Millow Tool during the 3 months before the claim arose.

19. Termination

We may suspend or terminate your access if you violate these Terms, abuse the service, attempt to bypass licensing, commit fraud, or create legal risk for us or other users.

20. Governing Law

These Terms are governed by the laws of Poland, unless mandatory consumer protection laws in your country require otherwise.
